Terms of Service

1. Agreement to Terms

By accessing or using Tilly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and organizations ("Tenants") who access or use the Service.

2. Description of Service

Tilly is a cloud-based Point of Sale system that provides inventory management, sales processing, expense tracking, and business analytics. The Service is provided on a subscription basis with multiple plan tiers.

3. Account Registration

To use the Service, you must create an account and provide accurate, current information. You are responsible for safeguarding your account credentials and for all activities under your account.

Each organization is a separate tenant. Data is isolated between tenants and is not shared.

4. Subscription Plans & Billing

The Service offers multiple subscription tiers (Free, Starter, Business, Enterprise). Paid plans are billed monthly through our payment processor (Paddle). Pricing is displayed in USD.

You may upgrade or downgrade your plan at any time. Downgrades take effect at the end of the current billing cycle. Upgrades are prorated.

Paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you will be prompted to enter payment details to continue on a paid plan, or your account will automatically revert to the Free plan. Cancelling during the trial period incurs no charge.

5. Data Ownership & Privacy

You retain full ownership of your business data. We do not sell, share, or access your data except as necessary to provide the Service or as required by law.

Enterprise plan customers may request a Data Processing Agreement (DPA).

6. Acceptable Use

You agree not to use the Service for any unlawful purpose, to abuse or disrupt the Service, or to attempt to access data belonging to other tenants.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

8. Termination

You may cancel your account at any time. Upon cancellation, your data will be retained for 30 days before permanent deletion, allowing you to export your data.

We reserve the right to suspend or terminate accounts that violate these Terms.

9. Limitation of Liability

The Service is provided "as is" without warranties of any kind. NESCODER LTD shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

10. International Users (GDPR & CCPA)

For EU/EEA Users (GDPR): We process your data based on contractual necessity (Art. 6(1)(b) GDPR) and legitimate interest (Art. 6(1)(f) GDPR). You have the right to access, rectify, erase, restrict processing, data portability, and object to processing. Contact our DPO at privacy@nescoder.com.

For California Users (CCPA): We do not sell personal information. You have the right to know what data we collect, request deletion, and opt out of any future sale. We will not discriminate against you for exercising these rights.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
